1. Select a Unique Name
Do a name search on MCA portal or Registrar of Firms database. Choose names that are different from current firms or registered brands.
2. Prepare the Partnership Agreement
The Deed is your rule book. Nature of Business, Capital Contribution, Profit/Loss Sharing Ratio, Interest on Capital, Salary/Commission to Partners and Rules for Admission, Retirement or Death of a Partner should be specifically mentioned.
3. Stamp Duty and Execution, Bangaluru
In Bangalore, a partnership deed must be e-stamped through the Kaveri 2.0 portal before it is notarised.
Stamp Duty Requirement: A general partnership deed usually requires a minimum stamp duty of ₹2,000 (with additional charges if the deed involves the transfer of immovable property) Rates were revised in 2024 (e.g. reconstituted partnerships with property contributions increased to 5%). Date Mismatch (The Biggest Trap)
Most banks/PAN processors refuse applications if the date of the Registration Certificate does not match the date of the Partnership Deed or PAN application. Rule: Date of Incorporation means the date of execution of the Partnership Deed and not the date on which the Certificate is issued by the Registrar. If your PAN card is having wrong earlier date then your current account application will be rejected by banks.
Erroneous Stamp Duty Valuation
If the deed is executed on a stamp paper of lesser denomination than prescribed (e.g., instead of e-stamping the deed on ₹2,000, a stamp paper of ₹500 is used), then the deed is invalid. The Registrar will immediately reject the file, thereby delaying the entire timeline.
Expired Address Proof or Missing Landlord NOC
